1.2 Eligibility

You must be at least 18 years old and legally able to enter contracts. If you're a painting contractor, you represent that you hold all licenses required by your jurisdiction.

1.3 Changes to Terms

We may update these Terms by posting a new version with an updated date. Material changes will be communicated via email or in-app notice at least 30 days before taking effect. Continued use after changes means you accept the new Terms.

2. Account Registration and Security

2.1 Account Creation

To use PaintLogic, you must create an account with accurate, complete information. You may authenticate via email/password or through Google or Microsoft OAuth.

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately at support@paint-logic.com if you suspect unauthorized access

2.3 One Account Per Entity

Each contractor business should have one primary account. Multi-tenant features allow team members under your subscription tier limits.

3. Service Description

3.1 What PaintLogic Provides

PaintLogic is a software platform that helps painting contractors:

• Upload and parse receipts from paint suppliers
• Track project materials, costs, and budgets
• Generate paint schedules and share them with customers
• Manage subcontractor relationships and job assignments
• Create and track change orders
• Build permanent property improvement records

3.2 Subscription Tiers

PaintLogic offers multiple subscription tiers (Free, Pro, Enterprise) with different feature access and usage limits. Current tier details are available at our pricing page. We may modify tier features or pricing with 30 days' notice.

We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

4. AI-Powered Features and Limitations

4.1 AI Technology Disclosure

PaintLogic uses artificial intelligence and machine learning technology, including services from Anthropic (Claude API), to power features such as:

• Receipt parsing and data extraction
• Project-to-receipt matching
• Photo-based receipt OCR
• Surface detection from work descriptions
• Estimate parsing and material extraction

4.2 AI Outputs Are Estimates, Not Guarantees

All AI-generated information — including parsed receipt data, suggested matches, extracted measurements, and cost calculations — are approximations for your convenience. They are:

• Starting points for your professional review
• Subject to errors, omissions, and misinterpretation
• Not substitutes for your expertise and verification

4.3 Your Verification Responsibility

Before relying on any AI-generated information for business purposes (bidding, invoicing, customer communications), you agree to:

1. Review AI outputs for accuracy
2. Verify against source documents
3. Apply your professional judgment
4. Make corrections as needed using manual editing features

4.4 No Liability for AI Errors

PaintLogic is not liable for any losses, including but not limited to lost profits, underbids, overbids, customer disputes, or financial harm arising from:

• Incorrect receipt parsing
• Mismatched projects
• Inaccurate cost calculations
• OCR errors
• Any other AI-generated content

4.5 Confidence Thresholds

Some features display confidence scores (e.g., 95% confidence for auto-assignment). These scores are heuristic estimates, not guarantees. A "high confidence" result can still be wrong.

5. User Data and Content

5.1 Your Data Ownership

You retain ownership of all data you upload to PaintLogic, including:

• Receipt images and PDFs
• Project information
• Customer and property details
• Estimates and budgets

5.2 License to PaintLogic

By uploading data, you grant PaintLogic a non-exclusive, worldwide license to:

• Store, process, and display your data to provide the Service
• Use AI services to analyze and extract information from your data
• Create aggregated, anonymized analytics (which cannot identify you or your customers)

5.3 Data Portability

You may export your data at any time using CSV export features. Upon account termination, you may request a full data export within 30 days.

5.4 Data Accuracy

You are responsible for the accuracy of information you enter. PaintLogic is not responsible for errors in your source documents or manual entries.

6. Acceptable Use

6.1 Permitted Uses

PaintLogic is for legitimate business purposes related to painting contracting, project management, and property records.

6.2 Prohibited Uses

You may not:

• Use the Service for any illegal purpose
• Upload malicious files or attempt to compromise system security
• Share account access with unauthorized parties
• Scrape, harvest, or bulk download data
• Reverse engineer the Service or AI models
• Use the Service to spam or harass others
• Misrepresent AI-generated content as manually verified when it isn't
• Upload content you don't have rights to use

6.3 Enforcement

Violations may result in account suspension or termination. We reserve the right to remove content that violates these Terms.

7. Subcontractor Features

7.1 Subcontractor Portal

PaintLogic allows you to invite subcontractors to access job information, submit receipts, and invoice for work. You are responsible for:

• Only inviting legitimate subcontractors
• Ensuring subcontractors understand their obligations
• Reviewing and approving subcontractor submissions

7.2 Subcontractor Relationship

PaintLogic facilitates communication but does not create any employment, agency, or partnership relationship between PaintLogic and your subcontractors. Contractor-subcontractor relationships are governed by your separate agreements.

7.3 Subcontractor Data

Subcontractor information you enter (contact details, compliance documents, ratings) is your data subject to Section 5. Subcontractors who create portal accounts have rights to their own submissions.

8. Change Orders and E-Signatures

8.1 Change Order Feature

PaintLogic allows you to create change orders and send them to customers for approval via electronic signature.

8.2 Your Responsibility

Change orders are contracts between you and your customer. PaintLogic provides the delivery and signature mechanism but is not a party to these agreements. You are responsible for:

• Accuracy of change order content
• Compliance with applicable contractor laws
• Customer communication and dispute resolution

8.3 E-Sign Consent

By using the e-signature feature, you represent that your customers have consented to conduct business electronically. Signed change orders are stored in your account; you should maintain your own records.

8.4 Legal Effect

PaintLogic does not guarantee the legal enforceability of e-signed documents in your jurisdiction. Consult an attorney if you have questions about e-signature validity.

9. Third-Party Services

PaintLogic integrates with third-party services including:

Third-party services may change or become unavailable. PaintLogic will make reasonable efforts to maintain integrations but is not liable for third-party service disruptions.

10. Payment Terms

10.1 Subscription Fees

Paid tiers require payment in advance on a monthly or annual basis. Fees are non-refundable except as required by law or stated in our refund policy.

10.2 Billing

We use third-party payment processors. You authorize recurring charges according to your subscription. Update payment information promptly if it changes.

10.3 Price Changes

We may change subscription prices with 30 days' notice. Price increases apply at your next renewal. You may cancel before renewal to avoid new prices.

10.4 Trial Period

New accounts receive a 14-day Essential-tier trial without collecting payment information at signup. After the trial ends, an additional 7-day grace period allows read-only access while you add a payment method. After the grace period expires, full access is restored upon payment-method addition. We may modify trial length, grace duration, or trial features at any time.

11. Disclaimers

11.1 "As-Is" Service

PAINTLOGIC IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Professional Advice

PaintLogic is a software tool. It does not provide legal, accounting, tax, or professional contracting advice. AI-generated content is not professional guidance.

11.3 No Guarantees

We do not guarantee that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, secure, or error-free
• AI outputs will be accurate or complete
• Results from the Service will be accurate or reliable

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAINTLOGIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Lost profits or revenue
• Lost business opportunities
• Project losses or underbids
• Customer disputes
• Data loss
• Reputational harm

12.2 Liability Cap

PAINTLOGIC'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO PAINTLOGIC IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED DOLLARS ($100).

12.3 Basis of the Bargain

You acknowledge that PaintLogic's pricing reflects this allocation of risk and that these limitations are essential to our ability to offer the Service.

12.4 Exceptions

Nothing limits liability for: (a) death or personal injury from negligence, (b) fraud or fraudulent misrepresentation, or (c) any liability that cannot be limited by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless PaintLogic from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Disputes between you and your customers or subcontractors
• Your reliance on AI-generated content without appropriate verification

14. Term and Termination

14.1 Term

These Terms are effective until terminated by either party.

14.2 Termination by You

You may terminate by canceling your subscription and ceasing to use the Service. Request data export within 30 days of termination.

14.3 Termination by Us

We may terminate or suspend your account:

• Immediately for material breach of these Terms
• With 30 days' notice for any reason
• Immediately if required by law

14.4 Effect of Termination

Upon termination:

• Your right to use the Service ends
• We may delete your data after a reasonable retention period (minimum 30 days)
• Sections that should survive (liability, indemnification, dispute resolution) continue in effect

15. Dispute Resolution

15.1 Informal Resolution

Before filing any legal claim, you agree to contact us at legal@paint-logic.com and attempt to resolve the dispute informally for at least 30 days.

15.2 Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.

15.3 Jurisdiction

Any legal action shall be brought exclusively in the state or federal courts located in Cook County, Illinois. You consent to personal jurisdiction in these courts.

15.4 Small Claims

Either party may bring claims in small claims court if the claim qualifies.

15.5 Class Action Waiver

You agree to resolve disputes with PaintLogic on an individual basis and waive any right to participate in class actions.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and PaintLogic.

16.2 Severability

If any provision is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.

16.3 Waiver

Our failure to enforce any right is not a waiver of future enforcement.

16.4 Assignment

You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
