1. What These Terms Cover
When a painting contractor invites you to access PaintLogic's Subcontractor Portal, these Subcontractor Portal Terms ("Portal Terms") govern your use. These are in addition to our general Terms of Service.
2. Your Relationship
2.1 With the Contractor
You have a direct business relationship with the contractor who invited you. PaintLogic is a software tool—we're not a party to your contractor agreement.
2.2 With PaintLogic
By accessing the Portal, you agree to these Portal Terms. You may not use the Portal if you don't accept these terms.
2.3 Independent Contractor Status
Your use of the Portal does not create any employment, agency, or partnership relationship with PaintLogic. You remain an independent contractor of the inviting contractor.
3. Portal Features
The Subcontractor Portal allows you to:
- View assigned job details and specifications
- Accept or decline job assignments
- Submit progress photos
- Upload receipts for materials
- Submit invoices and track payment status
- Request change orders
- Access job-specific paint schedules
4. Your Obligations
4.1 Accurate Information
All information you submit (invoices, receipts, progress updates) must be accurate and truthful. Submitting false information is grounds for removal and may be reported to the contractor.
4.2 Compliance Documents
If the contractor requires compliance documents (Certificate of Insurance, W-9, licenses), you agree to keep them current. Expired documents may block job acceptance.
4.3 Photo Submissions
Photos you upload for receipts or progress documentation must:
- Be your own photos (not stock images or others' work)
- Accurately represent the receipt or work condition
- Not contain inappropriate or unrelated content
4.4 Invoice Accuracy
When submitting invoices:
- Invoice amounts must match agreed rates and completed work
- Supporting documentation (receipts, photos) must be attached as required
- Duplicate invoices for the same work are prohibited
5. Portal Access
5.1 Magic Links
You access the Portal via secure magic links sent by the contractor. These links:
- Are unique to you and the specific job
- Should not be shared with others
- May expire after a period set by the contractor
5.2 Multiple Jobs
You may have access to multiple jobs from the same or different contractors. Each job has its own portal link.
5.3 Access Revocation
The contractor or PaintLogic may revoke your portal access at any time, for any reason. Common reasons include:
- Job completion
- Compliance document expiration
- Contractor request
- Violation of these terms
6. Data You Submit
6.1 Your Data Rights
You retain ownership of content you submit (photos, invoices, documents). By submitting, you grant the contractor and PaintLogic a license to use this content for service purposes.
6.2 Visibility
Content you submit may be visible to:
- The contractor who invited you
- The contractor's team members
- PaintLogic for support and service operation
6.3 Retention
Your submissions are retained according to PaintLogic's Privacy Policy. The contractor controls their retention of your data.
7. Invoice and Payment
7.1 Invoice Submission
The Portal allows you to submit invoices electronically. This is a convenience feature—it does not guarantee payment or create any payment obligation by PaintLogic.
7.2 Payment Terms
Payment terms are between you and the contractor. PaintLogic does not process payments, hold funds, or mediate payment disputes.
7.3 Invoice Disputes
Disputes about invoice amounts, payment timing, or work quality must be resolved directly with the contractor. PaintLogic is not a party to these disputes.
8. Change Order Requests
8.1 Submitting Requests
You may submit change order requests through the Portal for additional work or scope changes.
8.2 Approval Required
Change order requests are not approved until the contractor explicitly approves them. Do not proceed with additional work until you have written approval.
8.3 Documentation
Include clear descriptions and, where possible, photos when submitting change order requests.
9. Disclaimers
9.1 Platform Only
PaintLogic provides the Portal as a communication and documentation tool. We are not responsible for:
- The contractor's decisions about job assignments
- Payment disputes between you and the contractor
- Work quality disputes
- Contractor compliance with labor laws
9.2 AI Features
Some Portal features use AI (e.g., receipt OCR). AI outputs are estimates and should be reviewed for accuracy.
9.3 No Warranties
The Portal is provided "as is" without warranties of any kind.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAINTLOGIC SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR USE OF THE PORTAL, INCLUDING:
- Lost income or work opportunities
- Payment disputes with contractors
- Errors in AI-processed content
- Portal unavailability
PAINTLOGIC'S TOTAL LIABILITY SHALL NOT EXCEED $50.
11. Privacy
Your use of the Portal is subject to PaintLogic's Privacy Policy. Key points:
- We collect information you submit plus basic usage data
- Your information may be shared with the inviting contractor
- Receipt photos may be processed by AI services (Anthropic Claude)
- You may request deletion of your data by contacting privacy@paint-logic.com
12. Termination
12.1 By You
You may stop using the Portal at any time. Contact the contractor to formally end your work relationship.
12.2 By Contractor or PaintLogic
Your Portal access may be terminated at any time. You will retain access to any invoices you've submitted until processed.
13. Disputes
13.1 With Contractors
Disputes with contractors are between you and them. PaintLogic will not mediate unless required by law.
13.2 With PaintLogic
Disputes about the Portal itself are subject to the dispute resolution terms in our main Terms of Service, including Illinois governing law and Cook County, Illinois jurisdiction.
14. Changes to These Terms
We may update these Portal Terms. Continued use after changes means acceptance. Material changes will be communicated through the Portal or via email if we have your contact information.
